Terms & Conditions
These Terms and Conditions govern all transactions between Chem4Less Supply LLC ("we," "us," or "Company") and the purchasing party ("Customer"). By placing an order with us, the Customer agrees to be bound by these terms.
1. Pricing
All listed prices are in U.S. dollars. We reserve the right to update pricing at any time without advance notice. Orders in transit will not be affected by price changes after the order has been confirmed. Price quotes provided in writing are valid for 30 days from the date of issue.
2. Taxes and Government Charges
Our prices do not include sales tax, use tax, excise tax, customs duties, or any other government-imposed fees. The Customer is solely responsible for all applicable taxes and charges imposed by federal, state, or local authorities in connection with their purchase.
3. Payment Terms
Payment is due within 30 days of the invoice date unless a different arrangement has been agreed upon in writing. Overdue balances are subject to a finance charge of 1.5% per month. We may require prepayment at our discretion. International customers are responsible for any wire transfer or banking fees associated with their transactions.
4. Shipping, Inspection, and Returns
Customers must inspect all deliveries promptly upon receipt. Any discrepancies, shortages, or visible damage must be reported to us within 5 business days of delivery. Failure to notify us within this window will be considered acceptance of the order as delivered.
Returns require prior written authorization from Chem4Less Supply LLC. Authorized returns may be subject to a 20% restocking fee. Standard shipping fees apply: $10 for domestic U.S. orders and $65 for international returns. Returned items must be unused, in their original sealed packaging, and accompanied by the original invoice, our return authorization number, and a written explanation of the reason for return.
If a product is found to be defective or non-conforming prior to use, we will arrange for a replacement or full refund at no additional cost to the Customer.
We are unable to accept returns on opened chemical containers or products ordered as special or custom items.
5. Product Warranty
Customers are responsible for verifying that a product meets their specific requirements before use. We do not offer refunds or replacements for products that have already been used or consumed.
We warrant that products will conform to their stated specifications at the time of shipment. This is our sole warranty. We make no additional warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. All other warranties are expressly disclaimed.
Our maximum liability under any warranty claim is limited to replacement of the product or a refund of the purchase price. Under no circumstances will we be liable for indirect, incidental, or consequential damages arising from the use of our products.
6. Intended Use and Customer Responsibility
All products sold by Chem4Less Supply LLC are intended strictly for research, laboratory, and industrial use. They are not intended for human or animal consumption, medical use, or any application involving direct human contact without appropriate safety precautions.
The Customer assumes full responsibility for the safe handling, use, storage, and disposal of all purchased materials in compliance with applicable local, state, and federal regulations. Products must be used only by qualified individuals with appropriate training in chemical safety procedures.
7. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of the State of California. Any disputes that cannot be resolved informally shall be submitted to binding arbitration conducted under the rules of JAMS, with proceedings held in Alameda County, California. The United Nations Convention on Contracts for the International Sale of Goods does not apply to transactions with Chem4Less Supply LLC.
8. Promotions and Discounts
Promotional offers and discounts are subject to specific terms and cannot be combined with other active promotions, coupon codes, or special pricing unless explicitly stated. Chem4Less Supply LLC retains the right to modify or discontinue any promotion at its discretion.
